MUMBAI — The Reserve Bank of India has sanctioned the Scheme of Amalgamation involving the Indian branches of Emirates NBD Bank PJSC and domestic private lender RBL Bank, according to reporting by Accredited Wire Reports.
The regulatory clearance allows RBL Bank to formally integrate the existing footprint and operations of the Dubai-based lender's Indian network. The central bank's decision marks a critical milestone in executing the cross-border consolidation, which requires stringent supervisory review under Indian banking statutes.
Terms of the Regulatory Sanction
Under the framework approved by the banking regulator, the Indian branch network of Emirates NBD will be absorbed into RBL Bank's operational structure. The move allows the UAE-headquartered financial institution to consolidate its direct presence in India through an established domestic entity rather than running isolated standalone branches.
The RBI oversees all such amalgamations under the Banking Regulation Act to ensure institutional stability, capital adequacy, and the protection of depositor interests across both participating institutions.
Operational Next Steps
Following the central bank's sanction, the two lenders are set to proceed with operational, technical, and balance-sheet alignment. The combined branch footprint is expected to streamline commercial operations, corporate banking channels, and remittances between India and the Gulf region, where Emirates NBD maintains an extensive franchise.
RBL Bank and Emirates NBD are working to complete the legal and procedural requirements necessary to formalize the merger and transition accounts smoothly, per the dispatches.
